We provide tax planning and analysis to individuals, corporations, partnerships, trusts, estates and tax-exempt organizations. This analysis may be given solely with regard to tax planning, but is often provided in conjunction with transactions and/or estate planning we are handling. Because our firm’s attorneys work on a variety of issues for our clients, we bring tax planning to virtually all of our representations. This income tax planning frequently is coordinated with personal, estate and financial planning.

Examples of income tax planning would include:

  • Advising clients on a broad-range of personal income tax issues
  • Considering income tax issues in the context of trust and estate administrations
  • Advising clients on tax issues regarding charitable organizations, including funding and operational issues
  • Assisting clients involved in litigation settlements and/or divorce settlements on tax planning opportunities
  • Counseling clients on the tax aspects of business planning and transactions, including pre-incorporation planning Advising clients regarding subchapter S elections and subchapter S corporate operations
  • Counseling as to like-kind exchanges, reverse exchanges and other forms of real property transactions
  • Planning for workouts and cancellation of indebtedness income
  • Structuring corporate mergers acquisitions and dispositions
  • Advising clients who operate through “pass-through” entities such as S corporations, partnerships and limited liability companies
  • Counseling clients as to issues associated with special allocations, basis limitations and at-risk requirements
  • Planning for clients’ state tax issues such as ad valorem real property taxes (including “homestead” and “save our homes” issues) and documentary stamp taxes
